End-user licence agreement

A product-licence template for the current DataRead desktop releases. It is not a final contract until all owner details and terms are completed.

Working template — not ready to publish as a final contract. The legal owner, licence grant, permitted users/devices, duration, restrictions, governing law and support terms must be completed and reviewed by qualified counsel. The actual marketplace offer and final installer licence must match this page.

1. Parties and acceptance

This draft is intended to govern use of the DataRead desktop software between [LEGAL OWNER NAME] (“Publisher”) and the person or organisation accepting the licence (“User”). The effective date is [EFFECTIVE DATE]. Do not distribute a release with unresolved placeholders or without presenting the final terms at the appropriate point in the purchase or installation flow.

2. Product and version

The licence must identify the exact product edition and version: DataRead Free 0.1.0, DataRead Advanced 1.0.0 or DataRead Professional 2.0.0. DataRead Enterprise is a proposed concept only and is not licensed, released or orderable.

3. Licence grant — owner to complete

Proposed grant to be completed: [PERMITTED PURPOSE]; [NUMBER OF USERS]; [NUMBER OF DEVICES]; [TERRITORY]; [DURATION / SUBSCRIPTION OR PERPETUAL STATUS]; [TRANSFER / REINSTALLATION RULES]. Do not imply a licence type until the seller has selected and implemented it.

4. Restrictions

Subject to non-waivable rights under applicable law and the terms of third-party components, the final agreement should state restrictions on unauthorised copying, redistribution, sublicensing, resale, credential sharing, circumvention and misuse. It must not purport to remove rights that applicable law does not allow the Publisher to exclude.

5. User data and outputs

The User is responsible for rights to the input files, appropriate permissions, backups and review of transformed data, analytical results and exports. Current editions are designed for local processing as described in the privacy and data-handling pages. Do not assume any proposed Enterprise concept is already implemented.

6. Third-party components

Third-party and open-source components remain subject to their own licence terms. Required attribution, notices, source offers and other obligations must be supplied with the actual distribution. This EULA does not override third-party licences.

7. Updates, support and termination

Owner must specify whether updates, maintenance and support are included, how a licence may be terminated and what happens to local data after uninstall or termination. Current terms: [COMPLETE BEFORE PUBLICATION].

8. Warranty, liability and consumer rights

Have qualified counsel draft jurisdiction-appropriate warranty and liability wording. Nothing should be written to remove mandatory consumer rights or non-excludable statutory protections.

9. Governing law and contact

Publisher: [LEGAL OWNER NAME]; address: [POSTAL ADDRESS]; legal contact: [LEGAL EMAIL]; governing law and forum: [COMPLETE AFTER LEGAL REVIEW].

10. Roadmap disclaimer

The 25 proposed Enterprise roadmap areas are exploratory and non-binding. They are not included in the current editions, not licence entitlements, and not commitments to deliver any future function.
